By accepting a proposal, quotation, statement of work, service agreement, order, invoice, or other written engagement from Mryan Media, or by instructing us to begin work, you agree to these Terms.
Where a separate written agreement has been entered into between Mryan Media and the Client, that agreement will take precedence over these Terms to the extent of any inconsistency.
Where the Client is a consumer, mandatory rights and protections under applicable Irish and EU consumer law will apply and nothing in these Terms is intended to exclude or restrict those rights.

To the maximum extent permitted by applicable law, Mryan Media will not be liable for indirect or consequential loss arising from an Agreement, including loss of:
- profits;
- revenue;
- anticipated savings;
- business opportunity;
- goodwill;
- reputation; or
- data,
except to the extent such liability cannot lawfully be excluded.
Subject to applicable law, Mryan Media’s aggregate liability arising out of or in connection with an Agreement will not exceed the total Fees actually paid by the Client to Mryan Media under the relevant Agreement during the 12 months preceding the event giving rise to the claim, unless a different limit is expressly stated in the Agreement.
Nothing in these Terms excludes or limits liability for matters that cannot lawfully be excluded or limited, including where applicable liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or statutory rights and remedies that cannot lawfully be excluded.
Where the Client is a Consumer, this clause will be subject to applicable Irish and EU consumer-protection legislation. Consumer contract terms must be fair and transparent, and certain exclusions or limitations are not enforceable against consumers.

- the Client’s breach of applicable law;
- the Client’s breach of Platform rules;
- unlawful processing or disclosure of personal data by the Client; or

This indemnity does not apply to the extent that the relevant loss was caused by Mryan Media’s own breach, negligence, wilful misconduct, or other liability that cannot lawfully be transferred to the Client.
Where the Client is a Consumer, this provision will apply only to the extent permitted by applicable consumer law.

The affected party will take reasonable steps to minimise the impact.
50. Termination by the Client
Unless a different termination arrangement is stated in the applicable Agreement, either party may terminate an ongoing engagement by providing 30 days’ written notice.
Termination does not remove the Client’s obligation to pay:
- Fees already due;
- work completed before termination;
- approved Third-Party Costs;
- committed production costs;
- creator fees;
- non-cancellable expenses; or
- other amounts properly incurred before termination.

51. Termination for material breach
Either party may terminate an Agreement where the other party materially breaches the Agreement and fails to remedy that breach within a reasonable period after receiving written notice, where the breach is capable of remedy.
Immediate termination may be permitted where:
- the breach is incapable of remedy;

Where appropriate, Mryan Media may provide completed Client-owned Deliverables after outstanding amounts have been paid.
53. Refunds
Unless otherwise agreed in writing, Fees for Services already properly performed are not refundable, subject to any statutory rights that apply.
Amounts paid to third parties, including creator fees, production costs, media expenditure, licences, bookings, or other committed expenses, may not be refundable where the relevant third party does not provide a refund.
Nothing in this section limits any statutory refund, cancellation, remedy, or other right that cannot lawfully be excluded.
54. Portfolio and marketing use
Unless the Client has expressly requested confidentiality or the Agreement states otherwise, Mryan Media may identify the Client as a client and display completed public-facing work in:
- portfolios;

Mryan Media will not knowingly publish confidential campaign information without appropriate permission.
The Client may request that particular confidential or unreleased work not be publicly displayed.
55. Confidential campaigns
Where the Client requires confidentiality concerning an unreleased campaign, product, launch, strategy, creative asset, or other information, the Client should notify Mryan Media in writing.
Where a separate confidentiality or non-disclosure agreement applies, its terms will govern the relevant information.
56. Electronic communications
The parties may communicate by email, project management systems, messaging applications, electronic approvals, or other agreed digital methods.
Electronic approvals and instructions may be relied upon where they reasonably appear to come from an authorised Client representative.
The Client is responsible for ensuring that only authorised personnel provide instructions or approvals.
57. Notices
Formal notices under these Terms should be sent to the relevant party’s latest notified email or business address.
Notices to Mryan Media should be sent to:
Mryan Media Ltd.
39 Dealg Ban

Email: info@mryanmedia.com
A party should promptly notify the other of any change to its contact information.
58. Assignment
The Client may not transfer or assign its rights or obligations under an Agreement without Mryan Media’s prior written consent, except where permitted by applicable law.
Mryan Media may assign or transfer an Agreement as part of a corporate restructuring, merger, acquisition, sale of business, or transfer of substantially all relevant business assets, subject to applicable law and any rights that cannot lawfully be excluded.
59. Independent contractor
Mryan Media acts as an independent contractor.
Nothing in an Agreement creates:
- a partnership;
- joint venture;
- employment relationship;
- fiduciary relationship; or
- agency relationship,
unless expressly agreed in writing.
60. No exclusivity
Unless expressly agreed in writing, the relationship is non-exclusive.
Mryan Media may provide services to other businesses, including businesses operating in similar or related industries, provided that it complies with its confidentiality obligations and any specific exclusivity agreement.
61. Non-solicitation
Unless otherwise agreed in writing, during an active engagement and for 12 months following its termination, neither party will knowingly solicit for direct employment or engagement a key employee of the other party who was materially involved in the engagement.
This does not prohibit general recruitment advertising or hiring where the individual responds independently without targeted solicitation.
This clause applies only to the extent permitted by applicable law.
62. Subcontractors and specialist suppliers
Mryan Media may engage subcontractors, freelancers, creators, production partners, technical specialists, or other suppliers where reasonably necessary to provide the Services.
Mryan Media remains responsible for managing its subcontractors’ work within the scope of the Services, subject to the Agreement and applicable law.
63. Changes to these Terms
Mryan Media may update these Terms from time to time.
For existing Clients, material changes will generally apply prospectively and will not override an already agreed written contract unless:
- the parties agree otherwise;
- the existing Agreement permits the change; or
- the change is required by law.
The version applicable to a particular engagement will be identified by its effective date or incorporated into the relevant Agreement.
64. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified or removed to the minimum extent necessary.
The remaining provisions will continue in effect to the extent permitted by law.
65. No waiver
A failure or delay by either party to enforce a provision of an Agreement does not constitute a waiver of that provision or of the party’s right to enforce it later.
66. Entire agreement
The Agreement, including these Terms and any applicable proposal, quotation, statement of work, service agreement, or other written terms expressly incorporated into it, represents the agreement between Mryan Media and the Client concerning the relevant Services.
It supersedes previous discussions or representations relating to the same subject matter, except where expressly preserved in writing.
67. Order of precedence
If there is a conflict between these Terms and a signed or expressly accepted service agreement, the following order will generally apply:
- a signed service agreement;
- a signed statement of work;
- an accepted proposal or quotation;
- these Terms; and
- other general information published on Mryan Media’s website.
A specific written agreement may establish a different order of precedence.
68. Governing law
These Terms and any Agreement between Mryan Media and the Client will be governed by the laws of Ireland, unless:
- the parties expressly agree otherwise in writing; or
- mandatory applicable law requires a different law to apply.
Where the Client is a Consumer, this clause does not remove any mandatory rights or protections available to that Consumer under applicable Irish, EU, or other mandatory consumer-protection law.
69. Dispute resolution
The parties will first attempt to resolve any dispute through good-faith discussions between authorised representatives.
If the dispute cannot be resolved through discussion, either party may pursue the remedies available under applicable Irish law.
Nothing in this section prevents either party from seeking urgent or interim relief where reasonably necessary.
Where the Client is a Consumer, the Client retains any mandatory statutory rights concerning dispute resolution, court proceedings, or other legal remedies.
70. Consumer rights
Where the Client is a Consumer, mandatory consumer protection legislation applies.
Nothing in these Terms is intended to:
- exclude statutory consumer rights;
- limit mandatory remedies;
- impose an unfair contractual term;
- restrict a Consumer’s right to bring legal proceedings; or
- require a Consumer to give up protections that cannot lawfully be waived.
Irish consumer law requires consumer contract terms to be fair and transparent. Certain terms may be considered unfair or unenforceable, including terms that improperly limit statutory remedies or create a significant imbalance between the parties.
Where a consumer contract is concluded online or at a distance, additional information and cancellation requirements may apply depending on the nature of the Services and the circumstances in which the contract is entered into.
